Terms of Service
Contract terms for using CutoutKit, including subscriptions, uploads, AI outputs, and liability limits.
These terms govern access to CutoutKit and are written to match the product as it exists today: a hosted listing-pack tool with optional account, billing, AI-provider, and support integrations.
Acceptance and Eligibility
By accessing or using CutoutKit, you agree to these Terms of Service and our related Privacy Notice, Cookie Notice, Disclaimer, and Acceptable Use Policy.
CutoutKit is intended for business, professional, and commercial workflow use. You represent that you have authority to bind the individual or entity using the service.
Accounts and Security
Some features require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account unless caused by our own breach of security obligations.
You must provide accurate registration, billing, and support information and keep it current.
Uploads, Rights, and License to Process
You retain ownership of the images, prompts, product information, and other content you submit. You grant us and our subprocessors a limited license to host, transmit, process, transform, store, and display that content only as needed to operate, secure, support, and improve the service.
You are solely responsible for ensuring that you have all rights, permissions, releases, notices, and lawful bases needed for the content you upload and the way you use generated outputs.
- Do not upload content that infringes copyrights, trademarks, privacy rights, publicity rights, or contractual rights.
- Do not upload unlawful, deceptive, abusive, or regulated content unless you are independently authorized to do so.
- Do not submit sensitive personal data unless it is necessary for your legitimate use and permitted by law.
AI and Automated Output Terms
Outputs can be generated or assisted by third-party AI or image-processing vendors. Results may be inaccurate, incomplete, stylistically inconsistent, or unsuitable for merchant, platform, ad, or legal compliance requirements.
You must review all outputs before publishing, selling, distributing, or relying on them. We do not guarantee uniqueness, availability, merchant acceptance, intellectual-property clearance, or business outcomes.
Subscriptions, Usage, and Refunds
Paid features may be billed on a subscription or usage basis through Stripe or another payment processor we designate. You authorize charges for the selected plan, taxes, overages, and any valid payment retries.
Unless required by law, prepaid fees are non-refundable, and partial billing periods are not prorated. You may cancel future renewals at any time, and cancellation stops the next renewal rather than undoing charges already incurred.
If we determine that a charge was made in error, we may issue a correction, credit, or refund in our discretion.
Availability, Suspension, and Changes
We may modify, add, remove, suspend, or discontinue features, providers, limits, or pricing at any time. We may suspend or terminate access to protect the service, comply with law, investigate misuse, or reduce operational, fraud, or safety risk.
We do not guarantee uninterrupted availability, specific uptime levels, or that a particular third-party provider will remain available.
Warranty Disclaimer and Liability Cap
To the maximum extent permitted by law, the service and all outputs are provided on an 'as is' and 'as available' basis, without warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted service.
To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the service will not exceed the greater of the amount you paid us in the 12 months before the event giving rise to the claim or 100 U.S. dollars.
- We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
- We are not liable for lost profits, lost revenue, lost data, loss of goodwill, marketplace rejection, ad-account issues, or downstream commercial losses.
Indemnity
You will defend, indemnify, and hold harmless the operator of the service and its personnel from claims, losses, liabilities, damages, judgments, and reasonable costs arising from your content, your use of the service, your products or listings, or your violation of law or these terms.
Governing Law, Changes, and Contact
Unless mandatory local law says otherwise, these terms are governed by the laws of the jurisdiction where the operator is organized, without regard to conflict-of-law rules.
We may update these terms by posting a revised version at https://cutoutkit.com. Material changes become effective when posted unless a later date is stated.
